Key Responsibilities
- Provide expert advice on standard and complex contractual arrangements, including framework agreements, ISDA, Delegated Reporting agreements, Broker agreements, and Service Level Agreements.
- Advise on derivatives contractual arrangements ensuring compliance with regulatory and Shell mandated requirements.
- Advise traders on the commercial and contractual risks associated with their business to ensure contracts are fit for purpose.
- Negotiate standard and complex contracts accurately reflecting terms for the purchase and sale of OTC derivative transactions while maintaining compliance.
- Prepare and negotiate trade confirmations as well as ad hoc agreements to facilitate new business and structured transactions.
- Provide advice and assist in resolving contractual disputes with counterparties, liaising with various stakeholders.
- Maintain awareness and advise on new business opportunities or changes in regulatory requirements.
- Maintain an accurate record of current and ongoing negotiations for stakeholder visibility.
Requirements
- Minimum of 6 years’ working experience in drafting, analysis, and negotiation of contracts related to the purchase and sale of OTC derivatives.
- Expert knowledge of agreements associated with derivatives trading, including ISDA Agreements, CSA & VMCSA, Brokerage Agreements, and Master/long form agreements.
- Expert knowledge of regulations applicable to derivatives trading activity.
- Strong commercial mindset with effective negotiating skills.
- Ability to manage expectations of various internal and external stakeholders.
- Meticulous attention to detail, highly organized, and ability to prioritize workload under tight deadlines.
- Good interpersonal skills with the ability to communicate effectively with internal and external customers/stakeholders.
