Key Responsibilities

  • Draft, review, and negotiate a variety of legal documents including share purchase agreements, joint venture agreements, share subscription agreements, shareholders' agreements, consortium / joint development agreements, asset sale or purchase agreements, divestment agreements, power purchase agreements, EPC contracts, O&M contracts, project financing agreements, land purchase / land lease agreements, grid connection agreements, loan agreements, etc.
  • Coordinate legal due diligence efforts, identify legal risks, and help with contract structuring in proposed transactions.
  • Ensure compliance with all laws and regulations, including Sembcorp Group policies.
  • Provide legal input on regulatory and licensing frameworks, including liaising with local external counsel as needed.
  • Monitor updates on local energy laws, investment regulations, and foreign ownership requirements that may impact business activities.
  • Work closely with internal stakeholders (Business Development, Finance, Tax, M&A, HR and Project teams) to ensure alignment and risk mitigation across legal, commercial, and operational aspects.
  • Liaise with external counsel and regulatory authorities to support transactions and ongoing legal matters.
  • Support general corporate matters in SEA, including entity establishment, governance, and corporate secretarial matters.

Requirements

  • Degree in Law from a recognized university; with minimum 12 years PQE
  • Minimum 4 years of legal practice in a reputable law firm
  • Experience in energy projects, EPC contracts, O&M contracts, cross border transactional projects (renewable energy projects are ideal), and project financing
  • Able to work independently and proactive in engaging with business / commercial leads to structure projects
  • Experience in company law, incorporation of entities, basic corporate secretarial work
  • Experience in engaging and managing external counsel
  • Having degree in law in Indonesia, Philippines or Vietnam is a bonus
  • Able to travel for work within SEA
