Key Responsibilities
- Draft and negotiate various agreements across audit and advisory service lines including global framework agreements, local implementation agreements, service level agreements, technology agreements, intellectual property agreements, procurement agreements, confidentiality agreements, and data usage agreements
- Advise engagement teams on current commercial contracts including structuring and development of templates
- Review and contribute to drafting firm policies including authority and delegations framework
- Handle current legal work on local acquisitions including working with external counsel on deal structure and acquisition agreements, and coordinate with other Legal members for cross-border acquisitions
- Coordinate litigation matters in close relationship with General Counsel and relevant Quality Service Line Leader including risks and prospects analysis and briefing external legal counsel
- Provide advice to business units on potential claims and form part of special ad hoc panels to manage the risk of potential claims
- Provide input and reporting to legal risk committee
- Assist the GCO in rendering services to the Firm's Service Lines including reviewing and negotiating engagement letters and proposed client amendments to EY's standard terms and conditions
- Review, negotiate, and draft various agreements across service lines (Advisory, Tax, Transactions, Assurance) including hold harmless letters, confidentiality agreements, requests for tenders, bid submissions, and requests for proposals
- Review various agreements including sponsorship agreements, non-disclosure agreements, service level agreements, global framework agreements, responses to requests for proposals/bids, teaming agreements, consortium agreements, subcontractor agreements, service provider agreements, secondment agreements, and memoranda of understanding
- Consider legal risks in agreements including limitation of liability provisions and requests to exceed standard liability limits
- Provide internal legal opinions as requested by Service Lines or General Counsel including negotiation, drafting, and review of agreements and other legal documentation
Requirements
- Bachelor of Laws degree and Qualifying Certificate in Law
- Solid commercial drafting, reviewing and negotiating skills
- Business acumen
- Experience within a similar industry sector and/or financial services
- Exposure across the African continent would be beneficial
- Top administration skills with high proficiency in Microsoft Office programmes
- Excellent relationship skills which may be tested under pressure
- Assertive, proactive and energetic
- Willingness to work overtime when necessary
- Strong team player
- Strong organisational and project management skills
- Well-rounded corporate and commercial experience
- Experience in an auditing firm and with compliance and company secretarial matters is an advantage
